Spend & Save Merchant Terms and Conditions
These Terms and Conditions govern participation in the Spend & Save Merchant Program operated by ICEA Lion Life Assurance Company Uganda Ltd (“ICEA Lion”) in partnership with SurePay Technologies Ltd (“SurePay”). By registering as a Spend & Save Merchant, the Merchant agrees to be bound by these Terms and Conditions.
1. Definitions
- Spend & Save means the customer rewards and savings ecosystem operated by ICEA Lion.
- Merchant means any registered business approved to participate in Spend & Save.
- Customer means a registered Spend & Save member.
- SurePay means the authorised payment technology provider responsible for transaction processing and reporting.
2. Purpose of the Partnership
The purpose of the Spend & Save Merchant Program is to:
- Increase customer traffic.
- Reward customer loyalty.
- Encourage repeat purchases.
- Enable customers to build savings through everyday spending.
- Promote sustainable business growth for participating merchants.
3. Merchant Eligibility
To participate, a merchant must:
- Be legally registered in Uganda.
- Hold all required business licences.
- Operate a physical or approved online business.
- Maintain acceptable customer service standards.
- Comply with applicable laws and regulations.
Spend & Save reserves the right to approve or reject any merchant application.
4. Merchant Contributions
The Merchant agrees to contribute an agreed percentage of qualifying customer purchases towards the Spend & Save Program.
The applicable contribution percentage shall be agreed separately and may vary depending on the merchant category.
Contributions shall only apply to eligible transactions processed through approved Spend & Save payment channels.
5. Transaction Processing
All qualifying transactions shall be processed through SurePay’s authorised payment platform.
Transactions processed outside the approved platform shall not qualify for Spend & Save rewards unless otherwise approved in writing.
6. Settlement
Merchant contributions shall be reconciled and settled in accordance with the agreed settlement schedule.
SurePay shall provide transaction reports to support reconciliation.
7. Customer Rewards
Merchants acknowledge that customer rewards are administered by Spend & Save.
The Merchant shall not make independent promises regarding cashback values or redemption unless authorised.
8. Marketing
Upon joining Spend & Save, the Merchant authorises ICEA Lion to:
- Display the Merchant’s business name.
- Use the Merchant logo.
- Promote the Merchant on Spend & Save marketing platforms.
- Include the Merchant in customer campaigns.
All branding shall remain the property of the respective owner.
9. Merchant Responsibilities
The Merchant agrees to:
- Honour Spend & Save transactions.
- Treat Spend & Save customers equally.
- Display approved Spend & Save promotional materials.
- Train staff on basic Spend & Save procedures.
- Maintain accurate pricing.
- Cooperate during audits where necessary.
10. Customer Experience
Merchants shall provide the same quality of service to Spend & Save customers as they do to other customers.
Discriminatory pricing or treatment is prohibited.
11. Data Protection
Customer information shall remain confidential.
Merchants shall only use customer information for authorised business purposes and shall comply with all applicable data protection laws.
12. Fraud Prevention
The Merchant shall not:
- Create fictitious transactions.
- Process personal purchases as customer purchases.
- Split transactions to manipulate rewards.
- Collude with customers to obtain unearned rewards.
Any fraudulent activity may result in:
- Immediate suspension.
- Recovery of losses.
- Legal action.
- Permanent removal from Spend & Save.
13. Monitoring
ICEA Lion and SurePay reserve the right to:
- Monitor transactions.
- Conduct compliance reviews.
- Investigate suspicious activity.
- Request supporting documentation.
14. Merchant Referral Programme (Where Applicable)
Where a Merchant participates in a referral programme (e.g., Golden, Silver or Bronze Merchant), referral commissions shall only be payable on verified and eligible transactions in accordance with the prevailing Spend & Save Referral Policy.
Spend & Save reserves the right to amend referral structures with prior notice.
15. Customer Registration Incentives
Where applicable, merchants may receive customer acquisition incentives for successful customer registrations.
A successful registration shall mean a customer who:
- Completes Spend & Save registration.
- Meets all verification requirements.
Spend & Save reserves the right to modify incentive amounts.
16. Suspension and Termination
Spend & Save may suspend or terminate a Merchant where:
- False information is provided.
- Fraud is detected.
- Service standards fall below acceptable levels.
- The Merchant damages the reputation of Spend & Save, ICEA Lion or SurePay.
- The Merchant breaches these Terms and Conditions.
17. Limitation of Liability
ICEA Lion and SurePay shall not be liable for indirect, incidental or consequential losses arising from the Merchant’s participation in the programme, except where liability cannot lawfully be excluded.
18. Amendments
Spend & Save reserves the right to amend these Terms and Conditions from time to time.
Updated Terms shall become effective upon notification to the Merchant.
19. Governing Law
These Terms shall be governed by the laws of the Republic of Uganda.
Any disputes shall first be resolved through good-faith negotiations. Where no resolution is reached, the dispute shall be referred to the competent courts of Uganda.
